Business Terms Policy

This Business Terms Policy outlines the commercial practices, obligations, and rights between Innov8Fusion Pvt Ltd (“Innov8Fusion”, “we”, “us”, or “our”) and our clients/customers (“you”, “your”). By engaging with our services or subscribing to our digital products, you agree to the following terms, which are designed to ensure transparency, efficiency, and mutual accountability.

1. Scope of Business

Innov8Fusion specializes in the development and sale of:

  • Custom software solutions
  • Web and mobile application development
  • Subscription-based digital products (e.g., HRM systems, digital menus)
  • IT consultancy and support services
  • Software as a Service (SaaS) offerings

All services are provided either as one-time projects or under ongoing subscription/license agreements, depending on the nature of the offering.

2. Engagement Terms

a. Project-Based Services

  • A formal proposal or Statement of Work (SOW) will be shared for project-based services.
  • Work commences upon written confirmation and receipt of the agreed advance payment.
  • Any changes in scope, timeline, or deliverables must be documented and may incur additional charges.

b. Subscription-Based Services

  • Access to subscription services is granted post successful payment confirmation.
  • Subscriptions are billed on a monthly or annual basis as per the chosen plan.
  • Auto-renewals apply unless cancelled prior to the billing cycle’s end.
  • Customers may upgrade, downgrade, or cancel plans anytime via their user dashboard.

3. Payment Terms

  • All prices are listed in LKR/USD depending on the client region and will be clearly communicated during purchase.
  • We accept online payments via credit/debit cards and bank transfers through our payment partner(s) including PayHere.lk.
  • For custom services, staged payment terms (e.g., 50% advance, 50% on delivery) may apply.
  • Late payments beyond 7 days of due date may result in suspension of service or late fees.

4. Refunds & Cancellations

Our Refund Policy, available on our website, governs refund eligibility. Key terms include:

  • Refunds for subscription-based products are not offered once access is granted unless technical failure or service unavailability is proven.
  • Custom development services are non-refundable once design or development work has commenced.
  • Cancellations must be made in writing. For subscriptions, cancellation halts auto-renewals but does not warrant a refund for unused time.

5. Service Delivery and Support

  • Digital services and products are delivered electronically via web, email, or designated portals.
  • Support is provided via email, live chat, or scheduled calls during business hours (Monday to Friday, 9:00 AM to 6:00 PM IST).
  • Maintenance and updates (where included) are defined per the subscription tier or project contract.

6. Intellectual Property Rights

  • For subscription-based tools and SaaS products, users are granted a non-exclusive, non-transferable license for personal or organizational use only.
  • For custom projects, IP ownership and source code access are governed by the service agreement. By default, Innov8Fusion retains ownership unless explicitly transferred.

7. Confidentiality & Data Privacy

  • We treat all client data and communication as confidential and handle it in accordance with our Privacy Policy.
  • You agree not to share any proprietary, confidential, or licensed materials provided by Innov8Fusion without written permission.

8. Termination

We reserve the right to suspend or terminate service if:

  • There is a violation of any of our policies
  • Payment is delayed or dishonored
  • Misuse, abuse, or unauthorized modification of the product is detected

Upon termination, access to services will cease and no refunds will be processed unless otherwise stipulated in your agreement.

9. Limitation of Liability

  • We are not liable for any indirect or consequential damages arising from service use.
  • Liability is limited to the total value paid by the customer in the 3 months prior to the claim.
  • Downtime due to third-party service failure (e.g., hosting, payment gateway) is outside our scope of liability.

10. Governing Law & Jurisdiction

This policy is governed by the laws of the Democratic Socialist Republic of Sri Lanka, and any disputes shall be resolved under the jurisdiction of Colombo courts.
